FairPlay Residential Properties AD-Sofia has appointed a General Meeting of Shareholders on 05.07.2007 at 10:00 a.m. in Sofia, 51B Cherni Vrah Blvd., under the following agenda:
- Report of the management bodies about the activities of the company in 2006
- Adoption of the annual financial statement of the company for 2006
- Report of the certified public accountant about his audit for 2006
- Report of the Investor Relations Director
- Election of a certified public accountant
- Exemption from liability of the members of the management bodies for their activity in 2006
- Profit allocation decision with draft resolution, the 2006 profit of the company not to be distributed
- Presentation and adoption of a grounded report of the Board of Directors as per Art. 114a of the POSA about necessity of authorisation of the Board to make deals as per Art. 114 (1) of the POSA
- In case of an inquorate meeting, the GMS will be held on 19.07.2007 at 10:00 a.m. at the same place under the same agenda
The right to vote at the GMS will be entitled to all shareholders registered with the Central Depository fourteen (14) days before the date of the GMS, i.e. as of 21.06.2007 (Record Date)
The final date for transacting shares of this company on the BSE-Sofia, in result of which the holder will be entitled to exercise his voting right at the GMS, will be 19.06.2007 (i.e. Ex Date: 20.06.2007).

At its meeting held on 09.05.2007 the Board of Directors of FairPlay Residential Properties AD-Sofia, BSE code - FPRP, has decided to appoint a GMS of the company as follows:
FairPlay Residential Properties AD-Sofia has appointed a General Meeting of Shareholders on 29.06.2007 at 10:00 a.m. in Sofia, 51B Cherni vrah Blvd., under the following agenda:
- Report of the management bodies about the activities of the company in 2006
- Adoption of the annual financial statement of the company for 2006
- Report of the certified public accountant about his audit for 2006
- Report of the Investor Relations Director
- Election of a certified public accountant
- Exemption from liability of the members of the management bodies for their activity in 2006

The Board of Directors of FairPlay Residential Properties AD shall transfer for the benefit of FairPlay Properties REIT-Sofia /BSE code - FPP/ - interested party, or for the benefit of FairPlay International AD-Sofia /BSE code - BFPI/ - interested party, the ownership on the following estates:
1. Landed property - pasture, located in Sofia, Pancharevo district, on the land of Bistritsa village, Smardlovete area, of 11,006 sq. m. area, 7th category, including all improvements of the site;
2. Landed property - field of grass, located in Sofia, Pancharevo district, on the land of Bistritsa village, Shirinata area, of 1,128 sq. m. area, 7th category, including all improvements of the site;
3. Landed property - field of bushes, located in Sofia, Pancharevo district, on the land of Pancharevo village, Shirinata area, of 898 sq. m. area, 10th category, including all improvements of the site;
4. Landed property - pasture, located in Sofia, Pancharevo district, on the land of Pancharevo village, Shirinata area, of 1,847 sq. m. area, 10th category, including all improvements of the site;
b) Market value of the deal:
The market evaluation of the landed properties above has been made by the assessor Start 999 EOOD;
The market value of the landed properties above as of 07.05.2007 amount to BGN 2,305,562;
The prime cost of the landed properties above is BGN 2,167,416 and their total area - 14,879 sq. m.
- In case of an inquorate meeting, the GMS will be held on 13.07.2007 at 10:00 a.m. at the same place under the same agenda
The right to vote at the GMS will be entitled to all shareholders registered with the Central Depository fourteen (14) days before the date of the GMS, i.e. as of 15.06.2007 (Record Date)
The final date for transacting shares of this company on the BSE-Sofia, in result of which the holder will be entitled to exercise his voting right at the GMS, will be 13.06.2007 (i.e. Ex Date: 14.06.2007).

2006.07.14 Pledge on short-term assets
On 14.07.2006, FairPlay Residential Properties AD registered with the Special Pledges Registry a pledge on short-term assets, namely on a foreign exchange deposit with CB Bulgarian Post Bank AD-Sofia on amount of EUR 5,500,000. The purpose of the special pledge is to secure receivables of the bank on an overdraft contract, concluded between FairPlay Residential Properties AD and CB Bulgarian Post Bank AD. 2006.06.23 Concluded long-term investment credit contract
FairPlay Residentional Properties AD notified the BSE-Sofia of a concluded on 22.06.2006 long-term investment credit contract with CB Bulgarian Post Bank AD-Sofia under the following parameters:
Amount of the credit: EUR 5,500,000
Repayment period: 7 years with opportunity to prolong it with 3 more years
Interest: The interest on the credit is on an annual basis including the sum of the effective three-month Euribor + 3.5 basis points
